"LAADLI WEEK CONTEST"

RULES AND REGULATIONS

"LAADLI WEEK CONTEST" ("Contest") will be held on STAR Plus ("Channel") as stated hereunder:

1. The Contest shall commence from March 25, 2009 at 00:00:00 hours and shall conclude on April 16, 2009 at 20:59:59 hours on the Channel.

2. The Channel and/or STAR India Pvt Ltd (STAR India) shall invite viewers to participate in the Contest by telecasting on-air promos on the Channel and through radio mentions on various radio channels.

3. The viewer(s) who is interested in participating and qualifying for the Contest ("Participant") can participate in the following two ways:

3.1 SMS - by sending an SMS to 57827. The SMS should contain the keyword "ML" followed by followed by the message that the viewer(s) wish to convey to their laadli (favorite) daughter. For sake of clarity, one viewer can convey message to only one (1) daughter through the Contest. Upon sending the message, the viewers shall log on to the Website (stated below) and upload a picture of their laadli (favorite) daughter and also fill in the additional details requested on the Website.

3.2 Website - by logging on to the website www.projectlaadli.com ("Website") and submitting all the details (including a picture of their favorite daughter) requested on the Website.

All the costs and charges in relation to the internet session shall be borne by the viewers.

4. Messages sent after the timeline stated in this rules and regulations shall not be considered and shall be invalid.

5. All the entries should state all the required information, which have been asked from them. Any unclear and/or incomplete entry via SMS and/or Website shall not be considered and shall be invalid.

6. The viewers who are subscribers of Vodafone, Airtel, BPL, Idea, Reliance Communications, Spice, Aircel, Reliance Telecom, Tata Indicom, BSNL, MTNL Mumbai, shall only be eligible to participate in the Contest.

7. The costs charged to the viewers by their respective mobile operators will be as follows:

7.1 Rs. 3: Vodafone, Airtel, BPL, Idea, Reliance Communications, Spice, Aircel, Reliance Telecom, Tata Indicom;

7.2 Rs. 2: BSNL.

7.3 Rs. 1: MTNL Mumbai.

8. Neither STAR India nor the Channel shall be responsible in case of any network problems such as breakdown of machinery, unclear network, disruption in the network and/or the cost of the SMS charged by the network operator. Any dispute in connection to the same shall be settled between the Participants and the network operator without involving STAR India or the Channel.

9. In case of telecom, network failure and/or any other reason, STAR India and/or the Channel reserves the right to change the mechanism or take such necessary steps as it may deem fit.

10. The message should be in good taste and not obscene, vulgar, libelous, defamatory, insulting, annoying, or which hurts the religious sentiments of any body, in any manner whatsoever. If found otherwise, the Channel and/or STAR India reserves the right to take any such action as it may deem fit including civil and/or criminal action against the Participant(s).

11. The Channel and/or STAR India shall daily review all the messages that are sent each day of the Contest and randomly select some of the messages sent on that day to be scrolled on the Channel along with the name and picture of the laadli, during the telecast of the program "Sabki Ladli Bebo" ("Program") from April 3, 2009 to April 9, 2009.

12. The Channel and/or STAR India shall select winner in the following manner:

The Channel and/or STAR India shall at the end of the Contest, review all the messages and randomly select one (1) Participant who the Channel and/or STAR India is of the opinion has sent the best message during the entire Contest. The laadli (favorite daughter) of that one (1) Participant shall be the entitled to avail the Opportunity (defined below) ("Winner").

14. The Channel reserves the rights to select the Winner of the Contest. By participation in the Contest, it shall be construed that the Participant(s) has agreed to abide by the decision of the Channel and/or STAR India.

15. The Winner will be awarded the opportunity to be a part of one (1) episode of the Program ("Opportunity").

16. The Winner shall be informed/contacted by the Channel and/or STAR India. The Winner shall be required to be present at the venue on the date and time communicated to the Winner by the Channel and/or STAR India. In the event the Winner is not present then STAR India and/or Channel reserves the right to forfeit the Opportunity.

17. By participating in the Contest, it shall be construed that the Winner has waived his/her right to raise any dispute with regard to the Contest and/or in any manner whatsoever in connection to the Opportunity.

18. All and any incidental costs, direct and/or indirect (including the charges for travel and stay at the venue where the episode of the Program will be recorded), in relation to the Opportunity, shall be borne by the Winner and in no manner whatsoever shall the Channel/STAR India, be responsible for the same.

General Rules

1. The Participants should be citizens of India, residing in India and above 18 years of age to qualify for the Contest.

2. The Participants should not have criminal conviction or an arrangement or a contract that prevents the Participants from participating in the Contest.

3. The Participants in whose name the mobile number (from which the message is sent) is registered with a network operator shall be construed to have sent the message. Consequently, the Winner on whose name the mobile number (from which the message is sent) is registered with a network operator shall be entitled to the Opportunity.

4. The Winner(s) must submit with STAR India and/or the Channel a copy of the last two bills issued by the network operator as a proof that the mobile number is registered in the name of the Winner and such other documents that could be furnished as proof that the mobile number is registered in the Winner's name.

5. Proof of age is a must for the Participant(s) and must be submitted to the Channel/ STAR India (i.e., Birth Certificate, 10th Class leaving Certificate/ School certificate/ passport/ an affidavit signed by a magistrate).

6. STAR India and/or the Channel reserves the right to at any time to withdraw the Contest without giving any prior notice thereof to the contestants or change the timings of telecast of the Program on the Channel. It shall be the sole responsibility of the Participants to check the rules and regulations of this Contest on the website of STAR India.

7. Non-conformance by any Participant(s) and/or the Winner(s) of the rules of this Contest and/ or the terms and conditions communicated by STAR India and /or the Channel in connection to the Opportunity, as the case may be, will disqualify them from participation or winnings, immediately, as the case may be.

8. All rights including the intellectual property rights in and to the messages and content therein that are sent by the Participant(s) shall vest with STAR India and/or the Channel for worldwide and in perpetuity. STAR India and/or the Channel shall have the sole right to message(s) and shall be the sole owner of the messages as soon as the messages are received at 57827. STAR India and/or the Channel shall have the right to exploit the message in any manner as they deem fit including sub-licensing, syndicating, assigning transferring the rights to the messages to any third party. Though, STAR India and/or the Channel shall be entitled to broadcast the message on any of its or a third party(ies) channel, STAR India shall not have an obligation to broadcast the same.

9. All rights including the intellectual property rights in and to the footages of the Winner in relation to the Opportunity/Program shall vest with STAR India and/or the Channel for worldwide and in perpetuity. STAR India and/or the Channel shall have the sole right to the footages of the Winner and the Program containing footages of Winner and shall be the sole owner of the same as soon as the entries are received on the Website. STAR India and/or the Channel shall have the right to exploit the message in any manner as they deem fit including sub-licensing, syndicating, and assigning transferring the rights to the footages and/or the Program containing the footages of the Winner to any third party. Though, STAR India and/or the Channel shall be entitled to broadcast the footage of the Winner on any of its or a third party(ies) channel, STAR India shall not have an obligation to broadcast the same without any money payable to the Winner.

10. The Winner of the Contest agrees that he/she shall make himself/herself available from time to time and co-operate with the Channel and/or STAR India and participate in any activity and/or campaign ("Promotional Activity") of any nature whatsoever without any money payable to the Winner. Further, the Winner shall at no point of time refuse or disagree to participate in any such Promotional Activity for any reason whatsoever. The Winner agrees that the footage of any nature with regard to the Winner shall vest with STAR India, including but not limited to all intellectual property rights and any other rights for worldwide and in perpetuity.

11. The Participant(s) cannot exchange the Opportunity for another item or cash equivalent. If the Winner refuses to accept the Opportunity, the Channel and/or STAR India shall be released from all obligations towards the Winner in connection to the Opportunity. Further, after forfeiting the Opportunity, STAR India and/or the Channel shall be entitled to randomly select and declare another Winner, as it deems fit, and give the Opportunity, to that Winner.

12. By participating in the Contest, it shall be deemed to be construed that the contestant(s)/Winner(s) has waived his/her right to raise a dispute in connection to the Opportunity so given to the Winner upon winning the Contest.

13. By participating in the Contest, it shall be construed that the Participant(s) has agreed that the Participant(s) shall hold harmless the Channel, STAR India, its employees, officers or any other person in relation to any injury/damage/harm/loss suffered by the Participant(s), in any manner, whatsoever in connection with the Contest and that the Participant(s) has waived all rights to file in person or through any family member or third party any applications, criminal and/or civil proceedings in any courts or forum in India against the Channel and/or STAR India to claim any damages or reliefs.

14. By participating in the Contest, it shall be construed that the Winner of the Contest has agreed that the Winner shall, at all times, hold harmless the Channel, STAR India, its employees, officers or any other person in relation to any injury/damage/harm/loss suffered by him/her in any manner, whatsoever, in connection with the Opportunity and that the Winner shall also not file in person and/or through any family member and/or third party any applications, criminal and/or civil proceedings in any courts or forum in India the Channel and/or STAR India to claim any damages or reliefs or otherwise.

15. The Winner agrees that if due to any reason, whatsoever, beyond the control of the Channel and/or STAR India, the Opportunity and/or anything in connection to the Opportunity and/or the availing of the Opportunity becomes ineffective or invalid, the Channel and/or STAR India cannot be held responsible for the same.

16. The Channel and/or STAR India is in no manner whatsoever responsible and/or shall not be held liable in any manner whatsoever, for any injury, death, mental trauma caused to the Winner in any manner whatsoever or for any reason whatsoever in connection to the Contest and/or Opportunity.

17. Employees of the Channel or STAR India, and the members of their immediate family, persons with criminal convictions, persons other than citizens of India, are ineligible to enter the Contest.

18. Participation of the Participant(s) in the Contest shall be construed that the contestant has waived his/her right to dispute any decision(s) made by STAR India and/or the Channel in connection to the Contest and that the Participant(s) agrees to all the decision(s) made by STAR India and/or the Channel that all the decision shall be final and binding upon him/her.

19. STAR India and/or the Channel reserve the right to forfeit the Opportunity in the event it is found by STAR India and/or the Channel that any information provided by the Winner is wrong or any misrepresentation is made by the Winner. STAR India or the Channel shall have the right to declare another Participant(s) as the Winner of the Contest and transfer the Opportunity to that person.

20. All Participant(s), Winner, shall do any and all acts and execute any and all documents in such manner and at such location as may be required by the Channel and/or STAR India in its sole discretion to protect, perfect or enforce any of the rights granted or confirmed to STAR India and/or the Channel herein.

21. The participation of the Participant(s) in the Contest shall mean that the Participant(s) has read, understood, accepted and agrees to abide with all the rules including the general rules of the Contest.

22. The terms of this rules and regulations shall be construed in accordance with the laws of India and incase of any dispute or other matter arising in reference to the Contest shall be referred to a sole arbitrator appointed by STAR India and shall be governed by the Arbitration and Conciliation Act, 1996, amended from time to time. The venue for arbitration shall be Mumbai, in English language. All the costs, charges and expenses in connection to the Arbitration shall be solely borne by the Participant(s) who has raised the dispute.

23. Subject to the provision of Clause 22 above, the Courts having jurisdiction under the provisions of the Arbitration and Conciliation Act, 1996, to determine all matters which the Court is entitled to determine under the Act, including, without limitation, provision of interim relief's under the provisions of Section 9 of the Arbitration and Conciliation Act, 1996, shall exclusively be the courts at Mumbai, India
